Engagement Terms (Lawkraft / Sanker-Office) — Short Form

This short form summarizes the key commercial/legal points; a full-text MSA or SOW prevails on conflict.

1) Services & Scope

• Defined in each SOW (outcomes, assumptions, deliverables). Changes via written change notes.

2) Commercials

• Rates/fees per SOW. Invoices net 14/30. Taxes, withholdings, and reasonable expenses as applicable.

3) Confidentiality

• Mutual NDA. We use appropriate security controls; you avoid sending secrets over non-secure channels.

4) IP

• Background IP stays with each party. Deliverables are licensed or assigned per SOW. OSS under its own license.

5) Data Protection

• No PII by default. If required, a DPA/SCCs will be appended. You are controller of your data.

6) Compliance

• Each party complies with applicable laws and export/sanctions rules. You ensure data lawfulness and transparency.

7) Warranties & Liability

• Skill-and-care warranty only. Liability is limited and capped as stated in the SOW; no indirect/special damages.

8) Termination

• For material breach with 30-day cure, or for convenience where agreed in the SOW.

9) Order of Precedence

• SOW → MSA → this Short Form → policies referenced herein.
